Welcome to Affiliates Central. These Terms & Conditions govern your use of our affiliate marketing platform. By accessing or using our services, you agree to be bound by these terms.

1. Definitions

Platform
Affiliates Central, including all websites, applications, and services provided by us.
Affiliate
An individual or entity that promotes vendor products through our platform and earns commissions on successful sales.
Vendor
A business or individual that sells products or services through our platform and pays commissions to affiliates.
Customer
An end user who purchases products or services through affiliate links on our platform.
Commission
The percentage of sale value paid to affiliates for successful referrals.
Platform Fee
The percentage of sale value retained by Affiliates Central for providing platform services.

2. Membership & Affiliate Program Rules

Eligibility

  • Must be at least 18 years old or the age of majority in your jurisdiction
  • Must provide accurate and complete registration information
  • Must have legal capacity to enter into binding agreements
  • Must comply with all applicable laws and regulations

Application Process

  • Registration: Submit complete application with required information
  • Review: Applications are reviewed within 5-7 business days
  • Approval: Approved affiliates receive confirmation and access credentials
  • Rejection: We reserve the right to reject applications without providing reasons

Account Responsibilities

  • Maintain accurate and up-to-date account information
  • Keep login credentials secure and confidential
  • Notify us immediately of any unauthorized account access
  • Use the platform only for legitimate business purposes

3. Commission Structure

Default Rates

  • Standard Commission: 10% of net sale amount (after discounts)
  • Premium Products: Up to 20% for high-value or special promotion items
  • Volume Bonuses: Higher rates for top-performing affiliates

Rate Overrides

  • Vendor Rates: Individual vendors may set custom commission rates
  • Website Rates: Different rates may apply to different websites
  • Negotiated Rates: High-volume affiliates may negotiate custom rates
  • Priority Order: Vendor rates override website rates, which override platform defaults

Hold Period

  • Default Hold: 7 days from sale date before commission approval
  • Purpose: Allows time for refunds and dispute resolution
  • Early Release: May be available for trusted, high-volume affiliates
  • Extended Hold: May apply to high-risk transactions or new affiliates

4. Platform Fee & Payout Terms

Platform Fees

  • Standard Fee: 5% of net sale amount
  • Fee Structure: Deducted from vendor's portion, not affiliate commission
  • Custom Rates: May vary by vendor agreement or transaction volume

Payout Schedule

  • On-Demand: Request payouts anytime once commissions are approved
  • Minimum Amount: ₹100 minimum payout threshold
  • Processing Time: 3-5 business days for bank transfers
  • Payment Methods: Bank transfer (NEFT/IMPS), UPI, PayPal (international)

Payout Conditions

  • Valid bank account or payment method on file
  • Completed tax documentation if required
  • Account in good standing with no policy violations
  • All disputed transactions resolved

5. Vendor Responsibilities

Sales Reporting

  • Accurate Data: Report all sales data accurately and completely
  • Timely Reporting: Report sales within 24 hours of transaction completion
  • API Integration: Use provided APIs correctly and securely
  • Data Verification: Ensure all reported amounts and details are correct

Refund Handling

  • Prompt Reporting: Report refunds immediately when processed
  • Commission Adjustment: Accept automatic commission adjustments for refunds
  • Clear Policies: Maintain clear refund policies for customers

Product Quality

  • Provide accurate product descriptions and pricing
  • Maintain reasonable quality standards for all products
  • Honor all advertised promotions and guarantees
  • Provide adequate customer support for your products

6. Affiliate Responsibilities

Honest Promotion

  • Truthful Marketing: All promotional content must be accurate and not misleading
  • Disclosure: Clearly disclose affiliate relationships as required by law
  • Brand Compliance: Follow vendor brand guidelines and restrictions
  • Quality Content: Maintain professional standards in all promotional materials

Prohibited Activities

  • Fraud: No fake sales, click fraud, or artificial traffic generation
  • Spam: No unsolicited emails, messages, or aggressive marketing tactics
  • Trademark Violation: No bidding on trademarked terms without permission
  • Self-Referrals: No purchasing through your own affiliate links

Compliance

  • Follow all applicable laws and regulations in your jurisdiction
  • Comply with advertising standards and consumer protection laws
  • Respect intellectual property rights of vendors and third parties
  • Maintain appropriate licenses for your promotional activities

7. Refunds & Disputes

Refund Policy

  • Customer Refunds: Handled directly by vendors according to their policies
  • Commission Impact: Refunded sales result in commission reversals
  • Automatic Processing: Commission adjustments are processed automatically

Dispute Resolution

  • Internal Resolution: First attempt resolution through our support team
  • Documentation: Provide all relevant documentation for dispute review
  • Timeline: Disputes must be raised within 30 days of the transaction
  • Final Decision: Platform decisions on disputes are final

Chargebacks

  • Vendors are responsible for handling payment chargebacks
  • Commissions may be reversed for chargeback transactions
  • Excessive chargebacks may result in account suspension

8. Limitation of Liability

Platform Availability

  • We strive for 99.9% uptime but cannot guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for losses due to service interruptions

Data Accuracy

  • While we implement robust tracking systems, we cannot guarantee 100% accuracy
  • Users should monitor their own records and report discrepancies promptly
  • Our liability is limited to correcting verified tracking errors

Maximum Liability

  • Our total liability to any user is limited to the amount of commissions or fees paid in the 12 months prior to the claim
  • We are not liable for indirect, consequential, or punitive damages
  • Users participate in the platform at their own risk

9. Governing Law

Jurisdiction

  • Current Jurisdiction: These terms are governed by the laws of India
  • Court Jurisdiction: Disputes will be resolved in Indian courts
  • Language: English is the official language for all legal proceedings

International Expansion

  • As we expand globally, jurisdiction may change for users in different countries
  • Users will be notified of any changes to governing law
  • Local laws and regulations will be respected in each jurisdiction

Compliance

  • All users must comply with applicable laws in their jurisdiction
  • Tax obligations are the responsibility of individual users
  • We may provide tax reporting assistance but are not responsible for user tax compliance

10. Amendments Clause

Right to Modify

  • We reserve the right to modify these terms at any time
  • Changes may be made to reflect legal requirements, business needs, or platform improvements
  • Major changes will be communicated with reasonable advance notice

Notification Process

  • Email Notification: Registered users will receive email notifications of changes
  • Platform Notice: Changes will be announced on the platform dashboard
  • Effective Date: Changes become effective 30 days after notification unless otherwise specified

Acceptance

  • Continued use of the platform after changes constitutes acceptance
  • Users who disagree with changes may terminate their accounts
  • Termination must be completed before the effective date of changes
